Master Rental & Custom Services Agreement
Last updated: March 2026
This Master Rental & Custom Services Agreement ("Agreement") is entered into between The Pretty Party Boutique LLC, an Illinois limited liability company, doing business as Chicago Flower Wall ("Vendor"), and the undersigned client ("Client"). By signing, booking, or submitting payment, Client agrees to all terms contained herein.
1. Reservation & Payment Terms
Retainer
A non-refundable 50% retainer is required to reserve the event date and rental inventory and/or initiate custom production. The retainer compensates Vendor for reserving inventory, committing labor, and declining other bookings.
Remaining Balance
The remaining balance is due seventy-two (72) hours prior to the event date. Events booked within seven (7) days of the event require full payment at booking.
Failure to Pay
Failure to pay any balance when due may result in cancellation without refund and release of the event date.
Final Sale
All payments made are final and non-refundable unless otherwise stated in writing. Booking through Vendor's website, including ChicagoFlowerWall.com, constitutes acceptance of this Agreement.
2. Rental Period & Timing
The rental period begins at the scheduled setup time and ends at the scheduled strike (pickup) time listed on the invoice. Delivery windows are estimates and not guaranteed due to traffic, venue restrictions, weather, or prior event delays.
- Pickup after 11:00 PM incurs a $150 late-night pickup fee
- If items are not ready for pickup at the agreed strike time, overtime labor will be billed at $250 per hour
3. Venue Access & Site Conditions
Client must provide complete and accurate venue information including:
- Parking and loading access
- Elevator or stair access
- Surface type and ground conditions
- Electrical availability
- Venue restrictions
Client guarantees unobstructed access at the scheduled setup time. If Vendor is delayed more than 30 minutes due to lack of access, venue restrictions, planner delays, or inaccurate information, labor charges of $150 per 30-minute increment will apply.
Vendor may cancel installation without refund if site conditions are unsafe, inaccessible, or materially different than represented. Vendor installs rental items only and does not move venue furniture or third-party property. A Client or authorized representative must be present at delivery to approve placement.
4. Client Responsibility for Rental Items
Client assumes full responsibility for rental items from delivery until pickup. Client is liable for:
- Physical damage
- Missing components
- Cosmetic or aesthetic damage
- Excessive cleaning
- Electrical damage
- Liquid exposure
- Guest misuse
- Venue or third-party vendor interference
Aesthetic Damage
"Aesthetic Damage" includes, but is not limited to: stains, burns, wax, beverage exposure, plucked or crushed florals, detached flowers, bent framing, chipped paint, cracked acrylic, adhesive residue, glitter or confetti residue, smoke exposure, water saturation, or any condition rendering the item unsuitable for future rental in Vendor's sole professional judgment.
Because rental items are custom and luxury in nature, repair may not be possible. Vendor may charge full replacement value if damage affects presentation or functionality. Liquid contact with electronic equipment results in automatic full replacement liability.
5. Electrical & Equipment Use
Client agrees to provide appropriate electrical supply as specified by Vendor. Client assumes liability for damage resulting from:
- Improper voltage
- Shared circuits
- Generator use
- Power surges
- Venue electrical defects
- Third-party vendor interference
No liquids, fog machines, dry ice, or condensation-producing devices may be placed within five (5) feet of electronic equipment. Vendor reserves the right to discontinue equipment operation if unsafe conditions are observed.
6. Weather & Outdoor Installations
Outdoor installations are subject to weather and wind risk. Vendor reserves sole discretion to refuse, modify, dismantle, or cancel installation if weather conditions are deemed unsafe. No refunds shall be issued due to weather-related safety decisions. Vendor is not liable for instability caused by wind, uneven ground, tent movement, or venue refusal to allow proper anchoring.
7. Custom & Specialty Orders (Final Sale)
Custom, personalized, or specialty items — including but not limited to custom florals, signage, vinyl work, printed materials, magazine boxes, specialty builds, or made-to-order inventory — are final sale. Client acknowledges that Vendor incurs immediate supplier, material, and production expenses upon booking custom items and that such expenses are not recoverable.
Once materials are ordered or production has begun, Client is financially responsible for the full contracted amount.
Rescheduling
If Client elects to move the event date, the remaining balance remains due by the original event date. Vendor may, at its sole discretion, apply completed items to a new date if feasible. Availability for a new date is not guaranteed. Additional costs due to redesign, storage, or material replacement may apply. Rescheduling does not extend or suspend payment obligations unless agreed in writing.
Cancellation
If Client cancels for any reason, all payments made are non-refundable, the remaining balance remains fully due, and Client remains responsible for supplier fees and production costs. Because custom items are created specifically for Client and may not be resold, cancellation does not relieve Client of financial responsibility.
8. Assumption of Risk & Indemnification
Client acknowledges rental items may present inherent risks including slips, trips, falls, structural movement, or electrical hazards. Client voluntarily assumes all risks associated with use.
Client agrees to defend, indemnify, and hold harmless Vendor, its owners, employees, and agents from any and all claims, injuries, damages, losses, lawsuits, or expenses arising from: guest use or misuse, alcohol-related incidents, trip-and-fall events, weather-related instability, venue restrictions preventing proper anchoring, or third-party vendor interference — including claims alleging Vendor's passive negligence.
Vendor's total liability shall not exceed the total rental fees paid. Vendor shall not be liable for indirect, consequential, emotional, or special damages.
9. Chargebacks & Collection
Client agrees not to initiate chargebacks or payment disputes without first providing written notice and allowing five (5) business days to resolve concerns. Signed agreements, invoices, delivery confirmations, and event photographs constitute valid proof of services rendered. Client shall be responsible for collection costs, attorney fees, and court expenses resulting from nonpayment or disputes.
10. Insurance
For events exceeding $10,000 in total rental value, Vendor may require Client to provide a certificate of insurance with $1,000,000 general liability coverage naming Vendor as Additional Insured.
11. Media Release
Client grants Vendor permission to photograph and video rental items and portions of the event for marketing purposes. Client is responsible for obtaining guest consent, including minors. Vendor does not guarantee storage of digital media beyond thirty (30) days.
12. Personal Guarantee
If Client signs on behalf of a corporation, LLC, or other entity, the signing individual represents they are authorized to bind such entity and personally guarantees performance of all obligations.
13. Trade Names
Vendor may operate, advertise, invoice, or accept payment under The Pretty Party Boutique LLC or any registered trade name, including Chicago Flower Wall. All such names reference the same contracting entity.
14. Governing Law & Venue
This Agreement is governed by the laws of the State of Illinois. Any legal action shall be brought exclusively in Cook County, Illinois.
